Capital Markets

Clients value our creative and practical approach and our ability to advise on capital markets transactions of any complexity and scale. We have advised on many of the CIS and Asia regions’ most significant equity and debt capital markets transactions over many years and bring that experience to bear in advising on innovative and challenging capital markets transactions throughout our regions.

Working with strategic partners, we are well positioned to advise clients seeking to list on our regions’ exchanges (such as the HKEx, NASDAQ Dubai and the DFM) as well as global exchanges, including in the US, UK and Ireland.

We have assisted our clients with the offering and listing of shares and depository receipts (including IPOs and SPOs), bonds and other debt capital markets instruments on many of the world’s key stock exchanges, using a range of offering structures tailored towards the issuer’s regulatory and commercial environment. We are well-versed in interacting with regulators and strategic advisers, and working with banks, accountants and other law firms, to achieve a client’s desired outcome.

Over the years, our capital markets partners have acted for issuers, underwriters, strategic advisers, trustees and selling shareholders. They therefore have experience advising on transactions from all angles and a deep awareness of market infrastructure and transaction mechanics, as well as a clear appreciation for the key players’ particular interests. We have provided legal support for securities offerings across most sectors, including energy, metals and mining, transport and infrastructure, petrochemistry, logistics, fertilisers, education, real estate, and manufacturing.

We have also advised offerors, shareholders and company management (including special committees) on privatisations / take-private transactions.

We advise clients on legal and technical issues, such as those relating to sanctions, arising from the changed geopolitical landscape and interruptions in the functioning of the core market infrastructure, including on how to communicate with investors, depositaries, other professional debt and equity capital market participants and professional intermediaries.

Equity capital markets transactions that we advise on include:

  • initial public offerings (IPOs);
  • pre-IPO preparation and restructuring;
  • secondary public offerings (SPOs);
  • reorganisation of depositary programmes;
  • private placements;
  • capital increases;
  • rights issues;
  • dual-track exit processes;
  • privatisations / take-private transactions.

In the debt capital markets space, we cover:

  • notes and bond issuance;
  • high-yield transactions;
  • medium-term note (MTN) programmes;
  • Sukuk and other Islamic financing structures;
  • buy-back of notes and other liability managements deals.

We also advise our clients on various regulatory and administrative matters, such as:

  • legislative initiatives to develop domestic and regional capital markets;
  • development of alternative structures enabling issuers to service their payment obligations in the context of regulatory hurdles.
